The term “business angel” is thought to have its origins in New York’s Broadway musical scene. Producers who wanted to launch a new show would receive investment funding from wealthy “up- town” patrons of the theatre who would come “down-town” like angels to invest in these risky ventures. Today business angels are a major source of venture capital financing that helps to fill a gap that lies between the start-up and seed capital stage (i.e. typically less than $25,000), and the point at which formal venture capital funds will take an interest (i.e. typically above $3 million to $5 million). The definition of “business angel” remains unclear, with the terms “business angel”, “informal investor” and “informal venture capital” all used interchangeably. In an interesting paper on business angels published in the journal “Strategic Change” in 2009, Veland Ramadani notes that companies such as Bell Telephone, Ford Motor Corporation, Apple Computers, Body Shop and Amazon all had business angel funding in their early years. The typical profile of a business angel is a middle aged male with an above average education and a professional or business career background. Most have experience either in running their own companies or managing businesses and organisations. They also have high personal net worth. Angel Investors today have many choices and each part of the angel investment process is an opportunity to assess the capability of the entrepreneur. Many small businesses have failed simply because they were undercapitalised. Asking too little could negatively impact the operation of the business, which the angel investor may view as your inability to manage effectively.

His investments include Cruise Automation (bought by GM for $1B+), Branch Metrics, SkySafe and a dozen other startups. His last venture was Triggit, for which he raised over $25m in venture capital and exited to Gravity4 in 2015. Zach ran Triggit for 10 years, growing it from 4 to 60 employees and over $30m in revenue. ⚡️ Notes from the presentation: I. Raising at the beginning II. Raising when there is traction and what that means III. Now you have a business, thoughts, warnings and a few pitfalls 1. Your Baby a. Thoughts on raising - Who you are - Traction: Revenue, Users, data, customers, contracts, something measurable - Technology: See it, touch it, measure it. It works b. Three kinds of investors - Friends and family: they know you - Smart money: they know the space, the technology, - Professional Money: they know revenue and spreadsheets c. Raising from Friends and family - You will probably lose all their money - Tell them that, its not worth it to lose them - Be super fair - Spend their money like it’s the most precious thing ever. d. The first money is to get to traction. If you can get it 2. Smart Money is there for traction a. The idea is rarely, rarely, rarely meaningful - Really it is usually worthless b. Validation of an idea is priceless - Validation is people using an MVP, - Its customers signing, letters and LOIs, - Its people who will get on the phone and clamor for it c. With validation comes the ability to drill in - We can figure out what exactly to build - What not to build - We can ask hard questions - We can be specific. Super important d. Smart money knows your market cold - You have to know it better. - You have to be the best. e. Traction is what matters - Revenue, is easy - Potential revenue 1. Users 2. Data, 3. Signed deals - Give me something to get excited about f. Product Market Fit i. The Brick g. Social Proof i. Reid h. Know your investors beforehand - Help them by sharing market insights and your story at the same time - Asymmetric time - Don’t ask for meetings unless it is an inflection point or it will be interesting or fun for the investor. PROVIDE VALUE. 3. Professional Money a. It comes in many shades - VCs the smartest pro money - Dumb VC money - Debt - Banks b. Its all about the numbers - If they can’t get excited about the business from numbers you can forget about it c. The moat, the margin, the path to profitability all matter. - The game has changed from getting traction to building a business d. Be the market leader - If you are not you are screwed. Find a niche e. The relationship matters much less here 4. Final thoughts - Raising money tends to be binary. Its either stupidly easy or its impossible. If it feels like its hard stop doing it and get back to work - Raising money comes in stages for a reason. It is about inflection points where every things changes - Always raise as much as you can. The only time there is an exception to this it will be so obvious that the question will be if you should even raise at all. Call me when that happens.

David appreciates what it’s like to be in the shoes of innovators —and you’ll often find him coaching entrepreneurs at top Bay Area incubators such as Y Combinator, AngelPad, 500 Startups, and Stanford’s StartX.  Transcript: How do I know what investor invests in which stage? Historically, the venture business has been a very opaque business and if you talk to most first-time entrepreneurs it's very hard for them to figure out what different investors do, what's their mindset, what are the idiosyncrasies at different funds. The good news is, this is changing a lot. I think in the last 5 years the business has been forced to be much more transparent than it's ever been and I think the culture of the modern world between social media, between people talking, between blogging, the entrepreneur more so than ever are talking about their experiences in the past. I think that's generally a really good thing for the entrepreneurs. The starting point is, you know, online there's a lot of information starting with CrunchBase and looking at the funds. One thing, I look closely at is the size of the fund. Often times a billion dollar fund isn't doing very many seed investment and if they are it’s more of a win. At the same time at 10 million dollar fund isn't doing late growth stage investments. And if you look online, you can also look at the companies they’ve invested in. When you look at these companies, often times they delineate basically in the press release as well as in CrunchBase and all of these other online databases, when did they put their first money in. I would disregard the rest, but look at the first time they put their check in, and what round that is and by that, you can kind of infer do they mostly do series A round, do they do mostly growth round, or they do mostly seed. I think those are still kind of the three buckets. Do they like to take a lot of risks early on, do they like to invest in that A round, or do they like to power on when it becomes obvious? And on top of that, it's pretty easy to talk to an entrepreneur that has been through this, maybe it’s his second time around, or he’s plugged in, and they should be able to categorize your list of VCs that you're talking to and what stage they do.
